Terms of Service

These terms govern your use of ucikit.com and the products sold on it ("UCI Kit"). UCI Kit is a brand of db AV Solutions Inc. ("db AV Solutions", "we", "us", "our") — the company you contract with, and the name that appears on your invoice and card statement. By purchasing, downloading, or using our products you agree to these terms.

Products

UCI Kit sells digital products: Q-SYS Designer UCI templates, CSS style packs, and related documentation. Products are delivered electronically — there is no physical shipment.

License (End-User License Agreement)

Your purchase grants you a non-exclusive, non-transferable, perpetual license to use the product, subject to the following:

• One license per Core. Each paid license is tied to a single Q-SYS Core, identified by that Core's Locking ID, and unlocks the product on that Core only. Deploying on an additional Core requires an additional license.
• You may reuse the template design across as many of your own projects and client deployments as you wish, but each live Core must have its own valid license.
• You may modify the files for your own deployments.
• You may not resell, redistribute, sublicense, share, or publish the original or modified files as templates or products of your own — whether free or paid.
• The license is non-transferable: licenses and license keys may not be sold, lent, or transferred to another party except through us.
• Free trial versions may be used for evaluation in Q-SYS Designer emulation only; deployment on physical hardware requires a paid license.

License keys

When you buy a license, we generate a license key bound to the Core Locking ID you provide at checkout. The key is unique to that Core and does not expire. Keep it somewhere safe — if you lose it, email connect@ucikit.com and we'll re-send it. Because a key is tied to a specific Core and cannot be remotely revoked once issued, you are responsible for using it in accordance with this license.

Refunds

We offer a 30-day money-back guarantee on paid products. If a product isn't right for you, email connect@ucikit.com within 30 days of purchase and we'll refund you in full — no quibbling.

Because our products are digital and license keys cannot be technically revoked, refunds are made in good faith. By requesting and accepting a refund, you agree to stop using the product, delete all downloaded files and license keys, and remove it from any Core. Refunded customers no longer receive product updates. Requesting a refund while continuing to use the product is a breach of these terms.

Updates and compatibility

Templates are built for Q-SYS Designer 10.0 and later. We test new Q-SYS releases and ship compatibility updates to active license holders at no extra cost. We can't guarantee compatibility with future Q-SYS versions beyond our reasonable control.

Beta products

Products labeled "Beta" are functional but still evolving. Beta purchasers receive all subsequent updates to that product at no extra cost. Beta pricing is promotional and may change at any time.

Payments

Payments are processed securely by Stripe. Prices are shown and charged in Canadian dollars (CAD) unless stated otherwise. Applicable taxes may be added at checkout depending on your location.

Disclaimer and limitation of liability

Products are provided "as is", without warranties of any kind. You are responsible for testing any template in your design before deploying it to a live system. To the maximum extent permitted by law, our total liability for any claim related to a product is limited to the amount you paid for it. We are not liable for indirect or consequential damages, including lost profits or project delays.

Custom development

Custom development engagements are governed by a separate written agreement provided before work begins. These terms apply to template and style-pack purchases only.

Trademarks

Q-SYS and Q-SYS Designer are trademarks of QSC, LLC. UCI Kit is an independent product and is not affiliated with, endorsed by, or sponsored by QSC.

Governing law

These terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. Any dispute relating to these terms or our products is subject to the exclusive jurisdiction of the courts located in Quebec, Canada.

Changes to these terms

We may update these terms from time to time. The date at the top of this page reflects the latest revision. Continued use of the site after changes constitutes acceptance.
